User Agreement

  1. Welcome to the User Agreement (also "Agreement") for Notes 2 Editors—a division of Declaration Limited.
  2. This Agreement describes the terms and conditions applicable to your use of our "Services" available under the domain of www.notes2editors.com (the "Site").
  3. Our Services are available only to, and may only be used by, individuals who can form legally binding contracts under applicable law.
  4. Without limiting the foregoing, our services are not available to children (persons under the age of 18) or to temporarily or indefinitely suspended Users.
  5. This User Agreement may be varied from time to time. Please ensure that you review this User Agreement regularly as you will be deemed to have accepted a variation if you continue to use the Site after any variation has been posted.
  6. All copyright and other rights that subsist in the design and layout of the home page and other pages of the Site are owned by Notes 2 Editors.
  7. If you do not agree to be bound by our terms and conditions, do not use or access our Services.
  8. By using the Site you agree to be bound by the terms of this User Agreement

  1. Interpretations

    1. In this User Agreement - general terms

      "USER"
      An Editor, Contributor, Guest or unregistered user.
      "USER AGREEMENT"
      Your acceptance of Notes 2 Editors Terms & Conditions as embodied in this document.
      "WE" & "US"
      Notes 2 Editors—a division of Declaration Limited—and our directors, employees and representatives.
      "SITE"
      www.notes2editors.com.
      "EDITOR"
      Editor, journalist, reporter, correspondent, freelance writer or any other individual working in a writing or reporting capacity for a hardcopy or online publication or television or radio station or program.
      "CONTRIBUTOR"
      A person or a person authorised to represent and act on behalf of one or more companies or organisations uploading Press Releases and/or creating and maintaining online Media Packs.
      "GUEST"
      A person authorised to view a Contributor's Press Releases and Media Packs.
      "USER ACCOUNT"
      Part of the Site as created, accessed and maintained by Editor or Contributor. The User Account contains the Editor's or Contributer's Contact Details and rights with the Site.
      "CONTACT DETAILS"
      Information including your name, job title, telephone and facsimile numbers, and email and postal addresses. Also the names, job titles, telephone and facsimile numbers, and email and postal addresses of any individual named in a Press Release or Media Pack.
      "SERVICES"
      Any function provided by Us to a User including but not limited to the Viewing or Downloading of the text and graphics from Press Releases and Media Packs and the Uploading and Posting of text and graphics for Press Releases and Media Packs.
      "USER INTERFACE"
      Parts of the Site that provide Users with the ability to interact with the Site.

    2. In this User Agreement - in relation to an Editor's use of the Site

      "PRESS RELEASE"
      News, product announcement, diary/event date or other formal announcement made by a company, organisation or individual.
      "BREAK DATE"
      The date on which a Press Release is formally issued and on which its content becomes Public Domain.
      "MEDIA PACK"
      A bespoke area of the Site displaying a summary of a Contributor's information available on the Site. Also a collective term for Press Releases, corporate profile, product descriptions and personnel biographies.
      "MATERIAL"
      The text- and image-based content of Press Releases, Media Packs, product descriptions, personnel biographies, and Contact Details as Posted by Contributors.
      "VIEW"
      To see displayed on the Site Material Posted by Contributors and to have the ability to copy text.
      "DOWNLOAD"
      The transfer of documents and or images from the Notes 2 Editors Server to the computer or network of an Editor.
      "PREVIEW"
      To View and Download from a Press Release posted by a Contributor before the Press Release's Break Date.
      "PREVIEW CODE"
      An alphanumeric code that provides an Editor with advance access to a Press Release before its Break Date.

    3. In this User Agreement - in relation to a Contributor's use of the Site

      "UPLOAD"
      The transfer of documents and or images from the Contributors computer or network on to the Notes 2 Editors Servers.
      "SERVER"
      The computer on which resides the Site.
      "POST"
      To make available on the Site for Users.
      "POSTING DURATION"
      The duration for which a Press Release is available on the Site starting from the ealier of the Break Date or date first Previewed if Posted before the Break Date or the date of Posting if Posted after the Break Date.
    4. The headings in these Terms are for convenience only and shall not affect their interpretation.

  2. Permitted Use

    1. Subject to what is set out below, this Site may be used:

      1. By Editors to View, during the duration of its Posting, any Press Release on or after its Break Date.
      2. By Editors to Preview any Press Release before its Break Date.
      3. By Editors to Download documents (if present) and graphics files (if present) in relation to any Press Release that can be Viewed or Previewed.
      4. By Contributors to Upload Press Releases (including documents and graphics intended for Download).
      5. By Contributors to edit, before its Break Date, any Press Release for which the Contributer has authority to edit.
      6. By Contributors to extend the Duration for which any Press Release, not yet expired, is Posted on the Site.
      7. By Contributors to remove any Press Release for which the Contributor has authority to remove.
      8. By Contributors to give Guests the ability to View (but not download from) the Press Releases and Media Packs Posted by the Contributor.
      9. By Guests to View (but not download from) Press Releases and Media Packs Posted by the Contributor.
    2. You agree that you will not use the Site for the Uploading of any Material, the publication, dissemination, use or possession of which infringes the rights of any person or which is unlawful in any other respect.
    3. You agree that you will not use the Site for the Uploading of any Material that is in any way abusive, defamatory or obscene or which will harass, distress or inconvenience any person or which might restrict or inhibit the use and enjoyment of the Site by any person.
    4. You agree that you will not use the Site to create a database (electronic or otherwise) that includes Material or Contact Details viewed on, downloaded or otherwise obtained from the Site.
    5. You agree that you will not use the Site for the Posting or Uploading of any material that contains software viruses or any other computer code, files or programs designed to interrupt, restrict, destroy, limit the functionality of or compromise the integrity of any computer software or hardware or telecommunications equipment.
    6. You agree that you will be responsible for the content of the Material that you Upload to the Site and that you may be responsible for obtaining the legal permission for any works within the Material and ensuring that the contents does not violate UK law.
    7. You agree that you will be held responsible for and accept responsibility for any defamatory, confidential, secret or other proprietary Material present in your Press Release(s) and Media Pack(s).
    8. You agree that you will not use any computer-based program to access automatically the Site and or which would impede the operation or functionality of the Site.
    9. Your Notes 2 Editors Account is for your personal use only. You must not divulge your password to any other person and you should take reasonable precautions to ensure that it is not discovered by other people.
    10. You will not use the Site in any way that might bring Notes 2 Editors into disrepute.
    11. Any attempt to use the Site's User Interfaces for purposes other than their intended uses will result in your Account being terminated.

  3. Registration

    1. You agree to provide true, accurate, current and complete information about yourself as requested by Notes 2 Editors' registration procedures and which will reside in your User Account.
    2. You agree to maintain and promptly update your User Account to keep your Contact Details true, accurate, current and complete.
    3. You agreed to notify us of any unauthorised use of your User Account.

  4. Removal of Material and Cancellation of Access to the Site

    1. We shall have the right to refuse to provide you with access to your User Account at any time and for any reason without giving you any advance notice and Notes 2 Editors shall not be liable for any losses or damages whatsoever arising from preventing you accessing Material and Services.
    2. We shall have the right at any time and for any reason to remove from the Site any Material Posted or Uploaded by you without giving you any advance notice and Notes 2 Editors shall not be liable for any losses or damages whatsoever arising from the removal of such material.

  5. Techinical Support

    1. Technical Support is not provided.

  6. Fees & Charges

    1. Notes 2 Editors charges Users thus:

      1. Editors can View and Download Material from the Site free of charge
      2. Guests can View Material on the Site free of charge
      3. Contributors are charged for Posting Material on the Site
    2. Our Fees and Charges are detailed on the Site.
    3. We may change our Fees and Charges from time to time.
    4. Refunds in whole or part are not available.

  7. Liability

    1. Because all Material is Uploaded to the Site by Contributors and is provided to you free of charge and without any warrenties or guarantees, in the event that you have a dispute with one or more Contributors, you release Us from claims, demands, damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
    2. Contributors take full responsibility for their actions and Contributors employed by a company or organisation use the Site for and on behalf of that company or organisation and the company or organisation takes full responsibility for the Contributor's actions.
    3. We cannot guarantee that your use of the Site will be free from error and/or interruption. We exclude, in so far as it is legally possible, all liability and responsibility for any damages including, but not limited to, indirect or consequential damages, damages for loss of opportunity or chance, or any damages whatsoever arising from use or loss of use, data, or profits, whether in action of contract, negligence or other tortious action, arising out of, or in connection with, any information on the Site or the use thereof.
    4. Material stored on our Servers is not guaranteed to be backed up. You must keep an independent backup of all Material that you submit.
    5. We shall not be held liable for any loss or damages caused by the use, misuse, unavailability or removal of Services or Material.
    6. On some of the pages of the Site Users may be given the opportunity of contacting or entering into agreements with third parties. We are not liable in relation to, and takes no responsibility for, any contract entered into by users with any third party.
    1. Pages on the Site may include links to external websites. Notes 2 Editors is not responsible for the content of these external websites.

  9. Viruses

    1. Whilst effort has been taken to ensure that the pages of the Site are free from viruses, We give no warranties that they are indeed free from viruses and Users are responsible for ensuring that they have installed adequate virus checking software.
    2. Notes 2 Editors excludes, in so far as it is legally possible, all liability and responsibility for any viruses or any other computer code, files or programs designed to interrupt, restrict, destroy, limit the functionality of or compromise the integrity of any computer software or hardware or telecommunications equipment or other material transmitted with or as part of:
      1. the pages on the Site or any other Internet sites; or
      2. any Material downloaded from the Site or any other Internet sites.

  10. Intellectual Property and Trade Marks

    1. The names, images and logos identifying Notes 2 Editors and our Products and Services are the proprietary marks of Notes 2 Editors. Any use made of these marks may be an infringement of rights in those marks and We reserves all rights to enforce such rights.
    2. The names, images and logos identifying third parties and their products and services may be the proprietary marks of third parties. Any use made of these marks may be an infringement of rights in those marks.
    3. Any attempt to obtain the source code and internal functionality of the Site will result in legal action.

  11. Severability

    1. If any of these terms and conditions should be determined to be illegal, invalid or otherwise unenforceable, it shall be severed and deleted from the terms and conditions and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.

  12. Jurisdiction

    1. The terms and conditions of this User Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from matters relating to the Site shall be subject to the jurisdiction of the courts of England and Wales.

  13. Privacy Policy

    1. You hereby agree that your Contact Details (at the time of registration and subsequent amendments) and any other information sent to Notes 2 Editors by you or otherwise obtained by Notes 2 Editors about you may be processed by Notes 2 Editors for the purposes of:
      1. Providing our Services and Products;
      2. Maintaining accounts and records;
      3. Statistical analysis and conducting market research surveys; and
      4. Assessing and evaluating the use that is being made of the Site.
    2. The processing of your Contact Details may in some circumstances involve Notes 2 Editors disclosing your details to regulatory bodies and/or other third parties. If you do not wish your Contact Details to be disclosed in this manner, please make this clear by sending an appropriately worded message to Note 2 Editors.
    3. Notes 2 Editors will treat the subject and content of any Press Release as commercial in confidence up until its Break Date.
